Shipping and delivery are subject to Ci Design's stock availability at the time Purchaser's order is acknowledged. All shipping dates are approximated all prices are F.O.B. shipping point, or Ci Design's facility, unless otherwise specified. The route and shipping method are subject to Ci Design's absolute discretion, unless the Purchaser provides explicit written instructions to ship freight collect prior to shipment. Each shipment here under shall constitute a separate sale. Ci Design's decision to make more than one shipment against an individual order shall not constitute cause for cancellation of that particular order/invoice by Purchaser.

Risk of damage and loss shall pass to purchaser FOB shipping point or Ci Design's facility upon delivery of products by Seller to a common carrier or other reasonable means of transportation. Freight and insurance are Purchaser's sole responsibility and may be added to applicable invoice or billed separately. Any or all shopping claims are Purchaser's responsibility. Purchaser shall inspect each shipment upon receipt of delivery and IMMEDIATELY report all damage to the carrier. In the event of a claim, Ci Design's invoice must still be honored for payment.

Subject to credit approval, Purchaser agrees to pay Ci Design for the products which are subject to this order/invoice within thirty (30) days of the date of Ci Design's invoice or as otherwise required by Ci Design. Ci Design will charge a 1% per month late charge for all overdue invoices. Delinquent invoices will be assessed a minimum one month's late charge and 1% per month thereafter until payment is received in full. In the event Ci Design is required to seek legal remedies of collection. Purchaser agrees to pay all reasonable attorneys fees, court costs and other expenses related to such collection.

Should it be necessary for any reason to return a product to Ci Design, an RMA return authorization number must be obtained and the following procedures must be followed:

(1) Fax request to a Ci Design representative stating reason for return and provide: purchase order number, invoice number, Ci Design's part number, and serial number (when applicable)

(2) Purchaser will be faxed an RMA number and instructions for returning products.

(3) The RMA number must appear on the shipping label of each carton and all shipping documents that are being returned. RMA product must be received by Ci Design within thirty (30) days after authorization date.

(4) Purchaser must ship returned products "prepaid" unless Ci Design has agreed in writing to other arrangements.

(5) Under all circumstances, any products returned to Ci Design must be authorized via Ci Design RMA procedures.

(6) Items may be returned for replacement or credit only. Cash refunds will not be given without specific written authorization made at the time the RMA is issued by Ci Design.

Items being returned must be original Ci Design products and covered by an applicable warranty period. The authorized returned products must be packaged in their original packing material with all components included. All returned items must be in resalable condition, new or no usage. If these requirements are not met, Ci Design will recover the loss via increased restocking charges or return the products to Purchaser. If Purchaser is requesting a credit to its account, Purchaser's written request for RMA must be made within three(3) days after the receipt of the applicable product(s). Upon acceptance of the returned product(s) by Ci Design, Purchaser's account will be credited, less a 25% "restocking fee". Ci Design cannot provide cash refunds.

Ci Design will collect all applicable state and local taxes in addition to the purchase price from Purchaser. If goods purchased from Ci Design are intended for resale, Purchaser shall provide Ci Design with a tax exempt certificate acceptable to the applicable taxing authority.

Ci DESIGN WARRANTS TO THE ORIGINAL PURCHASER THAT ITS EXTERNAL ENCLOSURE PRODUCTS INCLUDING THE COMPONENTS THEREIN, SHALL BE FREE FROM DEFECTS IN MATERIAL AND CRAFTSMANSHIP FOR A LIMITED PERIOD OF THREE (3) YEARS. ANY OTHER LIMITED WARRANTY PERIOD OFFERED TO DIFFERENT PRODUCTS FREE FROM DEFECTS IN MATERIAL AND CRAFTSMANSHIP TO THE ORIGINAL PURCHASER WILL BE SPECIFIED IN OUR WRITTEN QUOTATION, CONTRACT OR IN ANY OTHER WRITTEN FORM TO PURCHASER. PURCHASER'S PURCHASE ORDER TO CI DESIGN SHALL BE DEEMED IN ACCEPTANCE OF SUCH LIMITED WARRANTY. CI DESIGN'S WARRANTY PERIOD STARTS FROM THE DATE OF INVOICE. THESE ARE THE ONLY WARRANTIES Ci DESIGN OFFERS. Ci DESIGN MAKES NO OTHER WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WRITTEN, ORAL OR STATUTORY, AND EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY OR FITNESS FOR ANY SPECIFIC PURPOSE, REGARDLESS OF ORIGIN. Ci DESIGN DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY FOR CLAIMS OF ACTUAL OR ALLEGED PATENT INFRINGEMENT FOR ANY Ci DESIGN PRODUCT, INCLUDING Ci DESIGN PRODUCTS THAT ARE COMBINED WITH HARDWARE, SOFTWARE, EQUIPMENT, OR OTHER MATERIALS NOT FURNISHED BY Ci DESIGN, INCLUDING ANY COVERAGE FOR COMPENSATORY DAMAGES, PUNITIVE DAMAGES, ATTORNEY FEES, COSTS, CONSEQUENTIAL DAMAGES, OR OTHER LOSSES, EXPENSES, OR DAMAGES. UNDER NO CIRCUMSTANCE IS Ci DESIGN LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.

If a product ordered by Purchaser is either custom made, modified, special-order or simply not an item that Ci Design stocks, and Purchaser is not under a written OEM agreement with Ci Design, Purchaser may be required to pay Ci Design a non-refundable deposit for the amount that is mutually agreed upon. Any deposits for products ordered hereunder are non-refundable. If a product ordered by Purchaser is manufactured according to designs or specifications provided by Purchaser, Purchaser agrees to indemnify and hold harmless Ci Design, its affiliates, offers, agents and employees, from and against any claims, expenses, losses, attorney fees, costs, damages or liabilities related to third party claims of actual or alleged infringement of intellectual property rights, including without limitation, patent, copyright and trademark violations.

Once accepted by Ci Design, Purchaser shall not change or otherwise cancel any order without Ci Design's written consent. If Ci Design gives such consent, Purchaser shall cover any costs, losses, damages, or other consequences Ci Design may suffer from any such change or cancellation, including, but not limited to, costs and losses resulting from Ci Design's purchase of components or materials or allocation of labor in anticipation of satisfying Purchaser's original order.

In the event the products, or any portion thereof, furnished to Purchaser are identified as "for approval", "for evaluation", "on consignment" or in the similar terms. Purchaser agrees that such information is confidential and that it will be liable for any disclosures of such information other than to employees required for evaluation by Purchaser.

Ci Design shall not be liable for product delivery delay or failure to deliver products due to wars, civil disturbances, strikes, accidents, fires, floods, storms, acts of God, or the inability to obtain necessary labor, energy, water, raw or finished materials, facilities, government priorities or allocations, transportation or other causes beyond Ci Design's control.

The failure of Seller to insist in any one or more instances upon the performance of any of the terms or condition herein, or to exercise any rights hereunder, shall not be construed as a waiver of any other terms or conditions herein or of the future performance of any term or condition or the future exercise of any such rights.

Any clerical or typing error of this terms & conditions are subject to correction by Ci Design.
